Terms of Service

Welcome to founder.vip (hereinafter "the Platform," "we," or "us"). These Terms of Service (hereinafter the "Terms") constitute an agreement between you and the Platform operator regarding your use of the Platform's services. Please read and fully understand all provisions of these Terms carefully before use. When you register an account, log in, or use the Platform's services in any manner, you indicate that you have read, understood, and agreed to be bound by these Terms. If you do not agree to these Terms, please do not use the Platform.

1. Definitions

The Platform: Refers to the founder.vip website and the various functions and services it provides. User: Refers to enterprises that register, log in, or use the Platform and their authorized representatives. Resource Card/Demand Card: Refers to the structured supply-demand information of "what I have" and "what I want" published by users on the Platform. Matchmaking: Refers to the service by which the Platform recommends potential counterparties to supply and demand parties based on rules and AI semantics. Connection/Transaction: Refers to the process and result by which users establish contact, negotiate, and reach cooperation based on matchmaking. Intermediary: Refers to a user who facilitates cooperation between others on the Platform and receives a commission as agreed.

2. Account Registration and Eligibility

The Platform is intended for enterprise users. You represent that you have the corresponding eligibility and authority to enter into and perform these Terms, and warrant that the information provided during registration is true, accurate, complete, lawful, and continuously valid. You should keep your account and password secure and are responsible for all activities under your account. If you discover unauthorized use of your account or any security risk, you should notify us immediately.

3. Enterprise Real-Name Verification

To safeguard platform trust and transaction security, you must complete enterprise real-name verification before using related functions. Verification is available via two paths: Legal Representative Personal Verification: The verification operator is the legal representative registered on the business license in person, and must provide the business license, the legal representative's name, and the operator's identity document. Upon approval, the "Legal Representative Verified" mark is obtained. Authorized Agent Verification: Where the verification operator is not the legal representative in person, in addition to the business license and identity document, a letter of authorization bearing the company's official seal must be provided. Upon approval, the "Enterprise Authorized" mark is obtained. You warrant that the verification materials are true and lawful, and shall not impersonate another's enterprise identity or forge documents. You bear sole responsibility for all consequences arising from providing false information or impersonating an identity.

4. Platform Services

The Platform provides, but is not limited to, the following services: Supply-Demand Publishing: Publishing and managing resource cards and demand cards; Intelligent Matchmaking: Recommending counterparties based on rules and AI semantics, with matchmaking rationale and match scores; Connection and Negotiation: Initiating connections, on-site instant negotiation, and advancing the full process from intent to transaction; Transaction Management: Transaction amounts, milestones, revenue splits, electronic contracts and signing, etc.; Intermediary Services: Claiming connections, facilitating cooperation, and receiving commissions as agreed; Membership and Wallet: Membership subscriptions, wallet top-ups and spending; Events and Community: Participating in connection events, roadshows, and community interaction. We may adjust, upgrade, or optimize service content according to operational needs, and will announce such changes in an appropriate manner.

5. User Conduct Standards

When using the Platform, you shall not engage in the following conduct: Publishing false, misleading, illegal information or information that infringes the rights of others; Impersonating another's enterprise identity or forging or altering verification materials; Engaging in fraud, money laundering, pyramid schemes, or other illegal transactions; Scraping, copying, interfering with, or damaging platform data and systems without permission; Publishing harassing, abusive, pornographic, violent, or other content that violates public order and good morals; Other conduct that violates laws, regulations, or these Terms. If you violate the above standards, we have the right to take measures such as warnings, function restrictions, revocation of verification, suspension or termination of your account, as warranted by the circumstances, and reserve the right to pursue liability.

6. Content and Intellectual Property

You are responsible for the content you publish and warrant that you own the corresponding lawful rights. By publishing content, you grant the Platform the right to use, display, and disseminate such content within the scope necessary to provide services. The interface, logos, programs, and related intellectual property of the Platform belong to the Platform operator or the rights holders. You may not use them without permission.

7. Transactions, Fees, and Commissions

The Platform provides matchmaking and information services to supply and demand parties. Specific transactions are negotiated, signed, and performed by the users themselves, and the authenticity, legality, and performance results of transactions are the responsibility of the transacting parties. Platform matchmaking commissions, intermediary commissions, membership fees, wallet spending, and the like are charged according to the rules published by the Platform. Once such amounts are incurred, they are non-refundable except as provided by law or otherwise stated by the Platform.

8. Intermediary Provisions

Users may apply to become intermediaries and claim connections. Intermediaries shall facilitate cooperation in good faith and shall not conduct false matchmaking or harm the interests of the transacting parties. Intermediary commissions are paid at transaction settlement as agreed. Disputes arising from the conduct of an intermediary are the sole responsibility of that intermediary.

9. Disclaimer

The Platform provides only matchmaking and information services and makes no guarantee regarding the conclusion, performance, or results of transactions between users. The Platform bears no liability for losses caused by users providing false information, breach of contract, fraud, or third-party causes. To the maximum extent permitted by law, the Platform bears no liability for service interruptions or data loss caused by force majeure, system maintenance, network failures, or other causes not attributable to our intentional misconduct or gross negligence.

10. Limitation of Liability

To the extent permitted by applicable law, the Platform bears no liability for indirect, incidental, punitive, or consequential losses arising from the use of or inability to use the services.

11. Account Suspension and Termination

You may stop using the Platform and apply to cancel your account at any time. If you violate these Terms or laws and regulations, we have the right to suspend or terminate the provision of services to you. After account termination, relevant information will be handled in accordance with the Platform's Privacy Policy and legal requirements.

12. Governing Law and Dispute Resolution

The establishment, effectiveness, interpretation, and dispute resolution of these Terms are governed by the laws of the People's Republic of China. Disputes arising from these Terms shall be resolved through friendly negotiation between the parties; if negotiation fails, either party may file a lawsuit with the people's court of competent jurisdiction in the location of the Platform operator.

13. Changes to the Terms

We may update these Terms from time to time. The updated Terms will be published on this page with the effective date noted. If you continue to use the Platform after the Terms are changed, you are deemed to have accepted the amended Terms.
